725 South Figueroa Street, Suite 2800 Ms. Newman practices in the area of tax, with an emphasis on advising clients on corporate and real property transactions that have a particular tax focus or tax sensitivity. Ms. Newman's real property practice includes extensive representation of investors and developers in structuring or restructuring the ownership of a real property projects (including office buildings, housing developments, shopping centers, oil fields, and electric utility projects) through the formation of partnerships, limited liability companies and joint tenancies. Ms. Newman has extensive experience with representing investors, developers and lenders with low-income housing tax credit projects and historic tax credit projects. To date, she has been involved in over 120 projects nationwide. In particular, Ms. Newman has assisted several corporate investors with establishing their tax credit investment programs, including developing their documentation and investment guidelines. Ms. Newman's corporate practice includes representing both large and small corporate clients in connection with acquisitions, mergers, joint ventures, and financing transactions in addition to more general corporate representation. Recent transactions include acting as tax counsel as part of the team of firm lawyers representing a Finish corporation in the sale of its U.S. power project holdings, which included interests in over 20 partnerships, and as part of the team of firm lawyers representing Xerox Corporation in connection with its acquisition of the color printing business of Tektronix, Inc. for approximately $1 billion. Ms. Newman has also represented a number of "start-up" company clients and has advised on structuring issues, equity and debt financing, and equity compensation matters. Ms. Newman represents a number of Asian-owned companies in connection with their U.S. business activities. Representative transactions include representing a Japanese corporation in connection with the acquisition, development, and sale of a luxury hotel, and advising a Japanese publicly-traded corporation on the structuring its U.S. business activities. For over five years, Ms. Newman's general business practice has included serving as the primary U.S. counsel for an Asian-owned group of U.S. companies involved with paper importation and sales. Her representation of this client has included a variety of general corporate and business matters, including financing arrangements and product distribution. Ms. Newman has worked with a number of nonprofit corporate clients. She has advised corporations on establishing and operating foundations, represented pension funds as investors in a variety of joint venture transactions, and advised on dealing with UBIT and related matters. Ms. Newman also advises individual clients on a variety of personal tax planning issues, including estate planning and family partnerships. Ms. Newman has provided pro bono assistance to several nonprofit corporations involved with providing community housing in the Los Angeles area, including El Pueblo Community Development, the Pacific Housing Alliance, Normont Terrace Coordinating Council, Comunidad Cambria, and Westminster Gardens. Ms. Newman has participated as a speaker at seminars on low income housing tax credit projects and historic tax credit projects for the American Bar Association. She has been a guest lecturer on real estate tax issues at USC's masters degree program in real estate development. She has also served as a speaker for the California Continuing Education of the Bar on limited liability companies, partnerships, and Section 1031 exchanges.
